1Article 1 (Purpose)
These Terms set out the rights, obligations and responsibilities between Sleebiz Co., Ltd. (the "Company") and users in relation to the use of "Sellerbiz" (the "Service"), an e-commerce M&A brokerage platform operated by the Company.
2Article 2 (Definitions)
The terms used in these Terms are defined as follows.
- "Service": all services related to e-commerce M&A provided by the Company, including online store listing registration, buyer matching, valuation and transaction support.
- "User": a member or non-member who uses the Service under these Terms.
- "Member": a person who has provided personal information to the Company and completed registration, including prospective sellers ("Sellers") and prospective buyers ("Buyers").
- "Listing": assets offered for transfer that a Seller has registered on the Service, such as an online store, brand, account or goodwill.
3Article 3 (Effect and Amendment of the Terms)
- These Terms take effect when posted on the Service or otherwise notified to users by reasonable means.
- The Company may amend these Terms within the scope permitted by applicable law. Amendments are announced through Service notices from 7 days before the effective date. Amendments unfavourable to users are notified individually 30 days in advance.
4Article 4 (Membership Registration and Withdrawal)
- Membership is established when a user applies after agreeing to these Terms and the Company approves the application.
- A member may request withdrawal at any time, and the Company processes it immediately.
- Upon withdrawal, registered listing information is made private immediately and destroyed in accordance with the Privacy Policy.
- If a transaction is in progress, withdrawal may be processed after that transaction is completed or terminated.
5Article 5 (Scope of Service)
- The Company provides the following services.
- Listing registration and management
- Buyer matching
- Provision of valuation information
- Transaction support services (consultation, contract support, expert referral, etc.)
- The specific content and scope of the Service may change according to the Company's circumstances, and any change is announced in advance.
6Article 6 (Restriction and Suspension of Use)
The Company may restrict or suspend use of the Service in any of the following cases.
- Misappropriating another person's information or registering false information
- Wilfully obstructing operation of the Service
- Registering false listing information or wilfully omitting material facts
- Otherwise violating applicable law or these Terms
When use is restricted, the Company notifies the user of the reason and the period.
7Article 7 (Fees and Payment)
- The Company charges a separately disclosed brokerage fee for transaction brokerage services. The specific fee rate and whether VAT applies follow a separate disclosure and agreement process at the time of listing registration.
- When the fee arises: upon payment of the down payment after the transaction begins
- Payment method: withheld from the down payment
- No fee if the transaction is not completed
- Additional services (extra due diligence, expert referral, etc.) may incur separate costs and proceed only after prior disclosure and agreement.
- The Company sells prepaid points ("Credits") for use of paid features within the Service. Credits may be topped up using credit cards or other payment methods designated by the Company, and the top-up amount and Credits granted follow the basis shown on the payment screen (1 Credit = KRW 10).
8Article 8 (Refund Policy)
- The Seller's fee is deducted from the down payment after the transaction closes, so no fee arises if the transaction does not close.
- In the case of unilateral cancellation after a sale and purchase agreement is executed, the penalty clause of the separately executed agreement between the parties applies.
- Refunds of additional service costs follow the refund rules of each service.
- Cancellation and refund of Credit top-up payments are as follows.
- Cancellation of payment (withdrawal of subscription) may be requested only for Credits that have not been used after top-up; Credits already used are excluded from refund. If only part has been used, only the amount corresponding to unused Credits (converted at 1 Credit = KRW 10) is refunded.
- When cancellation or refund is requested after a card payment, the payment is cancelled to the card used within 3 business days. Depending on the card issuer, completion of the cancellation may take 3 to 7 days.
- Credits granted free of charge by the Company, such as sign-up bonuses, referral rewards and attendance rewards, are not refundable.
- Cancellation and refund requests may be submitted through customer support (0505-115-1010).
9Article 9 (Listing Registration Rules)
- Sellers must provide accurate, fact-based information when registering a listing.
- If false or exaggerated listing information is registered, the Company may delete the listing and restrict use of the Service.
- A separate listing registration consent form must be agreed to when registering a listing.
10Article 10 (Intellectual Property and AI Images)
- Copyright in content posted on the Service belongs to the author of that content.
- The Company may use AI technology to modify or process product images for the purpose of presenting listings. In that case:
- AI-modified images may differ from the actual appearance of the original product, and the Company indicates that an image has been processed with AI
- Copyright in AI-modified images belongs to the Company, while copyright in the original product images belongs to the Seller
- Buyers acknowledge that AI-modified images may differ from the actual product, and verification of the actual product is carried out through a separate process
- Users may not commercially exploit information obtained through the Service without the Company's prior consent.
11Article 11 (Disclaimer)
- As a brokerage platform that connects and supports transactions between Sellers and Buyers, the Company bears no direct legal responsibility for the performance of contracts between the transacting parties or for disputes arising from them.
- The Company is not responsible for service interruptions caused by force majeure such as natural disasters, system failures or hacking.
- Responsibility for the accuracy and authenticity of information provided by a user rests with that user.
12Article 12 (Dispute Resolution)
- These Terms are governed by the laws of the Republic of Korea.
- If a dispute arises between the Company and a user in connection with use of the Service, both parties shall consult in good faith to reach an amicable resolution.
- If no agreement is reached, the Seoul Central District Court shall be the court of first instance.
These Terms take effect on March 19, 2026.
